10.1 If you violate any laws or regulations or any provisions of this Agreement and/or other relevant policies or agreements of this Website, or infringe or may infringe upon any third-party rights, you shall be solely responsible for handling and bearing all liabilities. If Espressif is subject to any complaint, claim or penalty as a result, you shall compensate Espressif for all losses.
10.2 You agree that you shall not unilaterally settle in any litigation filed by a third party in which you and Espressif are jointly defending without the prior written consent of Espressif.
10.3 Notwithstanding any contrary provisions in this Agreement, to the maximum extent permitted by laws and regulations, in any case, the total liability of Espressif to you shall not exceed the amount of fees (if any) you have paid for the services of this Website.
11. Updates and Termination of Agreement
11.1 We have the right to continuously update and improve this Agreement according to business development, technical upgrades, changes in laws and regulations or operational needs. The updated Agreement will be posted on this Website. Your continued use of the Services of this Website shall be deemed as your acceptance of the updated Agreement.
11.2 If you infringe upon the lawful rights and interests of any third party, we have the right to immediately take measures including but not limited to notifying you and requiring you to delete the relevant infringing information or content upon receiving a notice from the right holder or its legal agent, and we reserve the right to terminate this Agreement.
11.3 Upon termination of this Agreement, your right to use this Website and the Services shall immediately terminate. You acknowledge and agree that termination of your account may result in User Content being deleted from or anonymized in the database of this Website. Espressif shall not be liable to users for the termination of this Agreement, including termination of user accounts and deletion or anonymization of User Content.
12. Governing Law and Dispute Resolution
12.1 The formation, validity, interpretation, performance of and dispute resolution under this Agreement shall be governed by the laws of the People's Republic of China, excluding its conflict of laws rules.
12.2 In case of any discrepancy between the Chinese version and the English version of this Agreement, the Chinese version shall prevail. Any dispute arising from or in connection with this Agreement shall first be resolved by the parties through friendly negotiation. If negotiation fails, such dispute shall be subject to the jurisdiction of the People's Court of Pudong New Area, Shanghai, where this Agreement is executed.
